1. Acceptance of Terms
By accessing or using Traffic Orchestrator ("Service"), operated by Master Strategic Group LLC DBA Traffic Orchestrator, a Wyoming limited liability company, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Service Description
Traffic Orchestrator provides a software licensing and validation platform, including:
- Cryptographically signed license key generation
- Real-time license validation API
- Domain binding and feature flag management
- Analytics and usage reporting
We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. User Accounts
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Providing accurate and complete registration information
- Notifying us immediately of any unauthorized use
4. Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law or stated in our refund policy
- We may change pricing with 30 days' notice
- Failure to pay may result in service suspension
5. Free Trials
We may offer free trial periods for paid subscription plans. By starting a free trial:
- You will have full access to the features of the selected plan for the trial duration (typically 7 days)
- A valid payment method is required to start a trial. Your payment method will not be charged during the trial period.
- At the end of the trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable subscription fee unless you cancel before the trial ends.
- We will send you a reminder email at least 3 days before your trial expires and billing begins.
- Each customer is eligible for one free trial per plan. Subsequent sign-ups for the same plan will not include a trial period.
6. Auto-Renewal & Recurring Billing
All paid subscriptions, including those starting from a free trial, automatically renew at the end of each billing cycle (monthly or annually) at the then-current subscription rate. By subscribing, you authorize us to charge your payment method on a recurring basis.
- Monthly subscriptions renew every 30 days from the date of initial payment.
- Annual subscriptions renew every 12 months from the date of initial payment.
- You will receive a receipt by email after each successful charge.
- If your payment method is declined, we may retry the charge. After repeated failures, your subscription may be suspended.
7. Cancellation & Refund Policy
You may cancel your subscription at any time through the following methods:
- Account Dashboard: Navigate to your account portal and select "Cancel Subscription" in the Billing section.
- Email: Send a cancellation request to support@trafficorchestrator.com from the email associated with your account.
Upon cancellation:
- Your subscription remains active until the end of the current billing period.
- You will not be charged for subsequent billing periods.
- Your account will revert to the free Builder plan at the end of the billing period.
- Traffic Orchestrator offers a 7-day free trial on all paid plans. After the trial period concludes, all charges are final and non-refundable, except as required by applicable law.
8. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Attempt to circumvent security measures
- Use the Service for any fraudulent or malicious purpose
- Resell or redistribute the Service without authorization
- Interfere with or disrupt the Service
9. Intellectual Property
The Service and its original content, features, and functionality are owned by Master Strategic Group LLC DBA Traffic Orchestrator and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content you submit to the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAFFIC ORCHESTRATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your access to, use of, or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any unauthorized access, use, or alteration of your transmissions or content
- Any interruption, suspension, or termination of the Service
- Any bugs, viruses, or other harmful code that may be transmitted through the Service
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS OF THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TRAFFIC ORCHESTRATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TRAFFIC ORCHESTRATOR DOES NOT WARRANT THAT:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- The quality of any products, services, information, or other material obtained through the Service will meet your expectations
- Any errors in the Service will be corrected
- The license validation or verification process will be 100% immune to circumvention or tampering
No software protection mechanism, including license validation, can guarantee absolute prevention of unauthorized use. Traffic Orchestrator employs industry-standard cryptographic protections but does not guarantee that piracy, reverse engineering, or unauthorized access will be impossible.
12. Indemnification
You agree to defend, indemnify, and hold harmless Traffic Orchestrator and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms of Service
- Your violation of any third-party right, including any intellectual property or privacy right
- Any claim that your use of the Service caused damage to a third party, including any claim by your end-users arising from service interruptions or validation failures
- Any content or data you submit to or through the Service
This defense and indemnification obligation will survive the termination of these Terms and your use of the Service.
13. Service Availability & Client Responsibilities
Traffic Orchestrator strives to maintain high availability of the Service, but does not guarantee any specific uptime percentage unless a separate Service Level Agreement (SLA) has been executed with your organization.
Scheduled Maintenance: We may perform scheduled maintenance that temporarily affects availability. We will make commercially reasonable efforts to provide advance notice of planned maintenance windows.
Client Responsibilities: You acknowledge and agree that:
- You are responsible for implementing appropriate fallback and error-handling logic in your applications that integrate with our API, including but not limited to caching, grace periods, and offline validation modes
- You shall not design your application such that a temporary unavailability of our API causes irreversible harm, data loss, or safety-critical failures for your end-users
- Our SDKs and documentation provide guidance on implementing offline fallback patterns, and you are encouraged to adopt them
- You are solely responsible for the relationship between you and your end-users, including any disputes arising from service interruptions
14. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:
- Acts of God, natural disasters, epidemics, or pandemics
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications infrastructure failures
- Third-party cloud service provider outages (including but not limited to infrastructure providers)
- Distributed denial-of-service (DDoS) attacks or other cyberattacks
- Power failures, labor disputes, or supply chain disruptions
The affected party shall promptly notify the other party of the force majeure event and use commercially reasonable efforts to mitigate its impact.
15. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Service will be disabled
- You may request export of your data within 30 days
- After 30 days, we reserve the right to delete your data in accordance with our data retention policies
- Sections 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), and 16 (Governing Law) shall survive termination
16. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
